Reference is made to the Company's announcement made on 22
November 2018.
The Board of Directors of Sino, wishes to announce that the Company had on 3 April 2019
entered into the following agreements:
(i) a Sale and Purchase Agreement with Wavetree PLT ('Vendor'), Ng Chee Seng and Cindy
Wong Ling Ping for the proposed acquisition of business and asset including the
Intellectual Property Right owned by the Vendor, for a total purchase consideration of
RM6.0 million; and
(ii) a Shareholders Agreement with Fancy Celebrations Sdn. Bhd. ('FCSB') and Ng Chee
Seng to govern the rights, liabilities and obligations of the shareholders vis-à-vis
each other in relation to the management and operation of FCSB.
